Role Description We are seeking a highly motivated, detail-oriented, and commercially minded Corporate Lawyer to provide legal guidance and support across a broad range of corporate, commercial, and regulatory matters. The successful candidate will be responsible for advising on corporate governance, commercial transactions, contract negotiations, mergers and acquisitions, regulatory compliance, and risk management while ensuring that business activities comply with applicable laws and organizational policies. This role partners closely with executive leadership and cross-functional teams to support strategic initiatives, protect the organization's legal interests, and facilitate sustainable business growth. Key responsibilities include providing legal advice on corporate governance, commercial law, business operations, and strategic initiatives; drafting, reviewing, negotiating, and managing a wide variety of commercial agreements, including service agreements, supplier contracts, licensing agreements, partnership agreements, non-disclosure agreements (NDAs), technology agreements, and other legal documents; supporting mergers, acquisitions, joint ventures, restructurings, investments, and other corporate transactions by conducting legal due diligence and preparing transaction documentation; advising business leaders on legal risks and recommending practical, commercially focused solutions; ensuring compliance with corporate laws, regulatory requirements, industry standards, and internal governance policies; managing corporate records, entity formations, board resolutions, shareholder documentation, and corporate governance processes; collaborating with finance, procurement, human resources, compliance, information technology, and operations teams to provide legal support across business functions; assisting with dispute resolution, litigation management, arbitration, and external legal counsel coordination where required; supporting intellectual property protection, data privacy, employment-related legal matters, and regulatory inquiries as applicable; preparing legal opinions, reports, policies, and training materials for internal stakeholders; monitoring changes in legislation and regulatory developments that may affect business operations; contributing to risk management initiatives by identifying legal risks and implementing mitigation strategies; and promoting a culture of legal compliance, ethical conduct, and sound corporate governance throughout the organization. The Corporate Lawyer is expected to combine exceptional legal expertise with strong commercial awareness to provide practical and business-oriented legal advice. Success in this role requires excellent analytical, negotiation, communication, and stakeholder management skills, along with the ability to manage multiple priorities in a dynamic corporate environment. Qualifications Bachelor's degree in Law (LLB), Juris Doctor (JD), or an equivalent legal qualification from an accredited institution. Admission to practice law and eligibility to maintain a valid legal practicing certificate in the applicable jurisdiction. Strong understanding of corporate law, commercial law, contract law, corporate governance, mergers and acquisitions, and regulatory compliance. Knowledge of corporate transactions, legal due diligence, business structuring, and commercial negotiations. Familiarity with data privacy, intellectual property, employment law, competition law, and dispute resolution principles is advantageous. Understanding of corporate governance frameworks, regulatory reporting, ethics, and risk management practices. Excellent legal drafting, contract review, negotiation, and legal research skills. Strong analytical, critical thinking, and problem-solving abilities with sound legal judgment. Outstanding written, verbal, and presentation communication skills. Ability to explain complex legal concepts clearly to both legal and non-legal stakeholders. Strong organizational and project management skills with the ability to manage multiple legal matters simultaneously. High level of integrity, professionalism, confidentiality, and attention to detail. Proficiency in Microsoft Office and legal research, contract management, and document management systems. Professional memberships with recognized legal associations and additional certifications in corporate governance, compliance, arbitration, or data privacy are considered advantageous but are not mandatory. Demonstrated commitment to continuous professional development and staying informed about legislative developments, regulatory changes, emerging legal technologies, and corporate governance best practices.
