Job Summary:


A leading law firm in Abu Dhabi is seeking a highly skilled Corporate Lawyer with 7+ years of experience in the UAE to join its legal team. The ideal candidate will provide legal advisory services on corporate and commercial matters, ensure regulatory compliance, handle mergers and acquisitions (M&A), draft contracts, and liaise with regulatory authorities.


Key Responsibilities:

• Provide legal advisory services on corporate and commercial matters, including company structuring and regulatory compliance.

• Draft, review, and negotiate commercial agreements, shareholder agreements, joint ventures, and other corporate contracts.

• Advise on Mergers & Acquisitions (M&A), corporate restructuring, and business transactions.

• Ensure compliance with UAE corporate laws, regulations, and free zone requirements.

• Handle corporate governance matters, including board resolutions, minutes, and regulatory filings.

• Liaise with government authorities, regulators, and external legal counsel as needed.

• Oversee dispute resolution, arbitration, and litigation support when required.

• Stay updated on UAE legal developments and provide risk mitigation strategies.

• Support clients and businesses in navigating complex legal matters and ensuring legal compliance.



Skills

Requirements:

• Bachelor’s or Master’s degree in Law (LLB/LLM) from a recognized university.

• Minimum 7 years of corporate law experience in the UAE, preferably in a law firm or an in-house legal department.

• Strong knowledge of UAE corporate and commercial laws, regulations, and compliance frameworks.

• Expertise in contract negotiation, M&A, corporate structuring, and governance.

• Experience in dealing with regulatory bodies such as the Department of Economic Development (DED), Abu Dhabi Global Market (ADGM), Dubai International Financial Centre (DIFC), and Dubai Multi Commodities Centre (DMCC).

• Experience in handling requirements set by the Securities and Commodities Authority (SCA) and financial markets in the UAE.

• Experience in advising on public and private joint-stock companies’ legal requirements, including governance compliance and regulatory disclosures.

• Excellent legal drafting, negotiation, and analytical skills.

• Ability to work independently and provide strategic legal counsel to senior management and clients.

• Bilingual proficiency (English & Arabic) is preferred but not mandatory.
