Manager Legal & Regulatory Affairs (UAE Nationals Only)

Provide expert legal advice and guidance to the assigned portfolio within the Group at Abu Dhabi Securities Exchange (ADX) within the applicable legislation, in line with the corporate strategy to optimally resolve legal issues, contain legal risks, and support the achievement of optimum legal protection for ADX.

Key Accountabilities:

Strategy Development and Implementation

  • Develop and direct the implementation of the divisional strategy ensuring alignment to functional strategy, Group’s vision, mission, and corporate objectives.
  • Ensure that functional and/or departmental strategies and related strategic plans are developed and implemented, which are aligned with the vision and mission of the organization.
  • Ensure the provision of subject matter expertise for the assigned domain and provide counsel to Group’s leadership on all related areas to facilitate the achievement of the group strategy and functional strategies.

 

Leadership

  • Manage the effective achievement of divisional objectives through effective leadership and by setting of individual objectives, managing performance, developing, and motivating teams to maximize performance.
  • Lead the talent development initiatives for the assigned division, collaborating with discipline experts and thereby ensure the availability of talent to fit business requirements.
  • Act as a role model and drive adherence to organizational values and ethics by employees of the assigned division to ensure the establishment of a value-driven culture within the organization.

 

Budgeting and Financial Performance

  • Oversee the consolidation and recommend the divisional budget and monitor financial performance versus the budget so that the business is aware of anticipated costs/revenues, areas of unsatisfactory performance are identified, and potential areas of cost reduction or performance improvement opportunities are capitalized upon.

 

Policies, Systems, Processes & Procedures

  • Develop and lead the implementation of divisional policies, systems, processes, procedures, and controls covering all areas of assigned functional so that all relevant procedural/legislative requirements are fulfilled while delivering a quality, cost-effective service in a consistent manner.

 

Legal Affairs Management and Advisory

  • Manage and guide the formulation of the Group's legal strategy, framework, and guidelines, ensuring compliance with applicable laws and regulations pertaining to Legal & Regulatory Affairs.
  • Oversee the interpretation of laws, providing subject matter expertise on adjustments to legal policies, while advocating a cost-effective approach to handling legal matters, minimizing risk exposure while protecting Group and stakeholders.
  • Provide subject matter expertise to the Board, CEO, and Senior Management on regulatory matters.
  • Provide advice across the business and in different jurisdictions, if applicable, on applicable laws and the interpretation of legal documents in a manner that avails a practical legal approach while properly managing the risks to the business.
  • Provide recommendations for addressing critical legal and policy issues to ensure that the Group’s legal and overall objectives are met in a manner consistent with its values, strategies, policies, and procedures.
  • Lead the development and maintenance of governance enablers, including regulatory mandates, values, policies, and procedures, and the corporate governance framework, clarifying accountabilities, roles, and responsibilities across the Group.
  • Provide counsel on legal implications of business decisions and practices, directing the effective identification and reporting of risk areas for mitigation, encompassing capacity procurement tenders, divestments, restructurings, financings, joint ventures, regulatory, and litigation matters.
  • Champion training initiatives in legal matters, to enhance awareness of legal matters while ensuring continuous adherence to laws and regulations across the Group.
  • Review, draft, and negotiate commercial agreements and documentation, including procurement agreements, lending and financing agreements, partnership agreements, and purchase agreements.
  • Uphold the intellectual property rights of the Group by taking appropriate legal measures where applicable, ensuring comprehensive protection against infringement.
  • Provide strategic legal guidance to all function heads during business transactions, ensuring that relevant contract clauses comply with corporate laws and standards, and local and international standards to protect the Group from legal liabilities.
  • Direct the management of various litigation and dispute settlement activities taking charge of legal negotiations to safeguard the Group’s legal rights.
  • Oversee the negotiation of legal settlements, providing fundamental recommendations to involved parties to address issues before court proceedings.
  • Direct the establishment of a regulatory management program and framework supporting asset protection and detect any deviations and non-conformance to ensure that the business understands and complies with applicable laws and regulations.
  • Guide the effective maintenance of up-to-date knowledge of the requirements of all relevant government entities to validate that the Group is made fully aware of any relevant amendments or revisions to new or existing legislation, rules, regulations, procedures, or protocols.
  • Oversee the identification of potential areas of risk, development, and implementation of processes and systems for the resolution of problematic issues and provide general guidance to relevant stakeholders on how to avoid or deal with similar situations in the future through effective communication and training.

 

Management of Outsourced Service Providers

  • Procure external legal support with the approval of the Chief Legal, Regulatory & Compliance and, where applicable to support seamless legal services to the Group.
  • Manage law firms to ensure all services are procured in a timely and cost-effective manner and meet applicable quality standards.

 

Key Stakeholder Management

  • Ensure effective representation of the Group in legal matters before governmental authorities or courts, ensuring effective resolution of pertinent issues.
  • Develop strong working relationships with regulators, authorities, and ministries to secure timely and effective support and advice, ensuring that interactions with government bodies consistently align with the best interests of the group.
  • Provide counsel to Senior Management and the Board in managing stakeholder relations with government entities and state-owned stakeholders, ensuring that interactions with government bodies consistently align with the best interests of the Group and its owned stakeholders.

 

Innovation & Change Management

  • Lead the management of change through continuous improvement of functional and/or departmental systems, processes, and practices taking into account global standards and changes in the business environment which demand proactive action plans.

 

Risk and Business Continuity Management

  • Lead and direct the effective implementation of corporate frameworks, policies, procedures, and processes to promote a culture focusing on the achievement of world class standards in risk management, QHSE, and business continuity within Legal & Regulatory affairs to foster a resilient organizational framework and achieve alignment with regulatory requirements.

 

Skills

Minimum Qualifications & Experience:

Educational and Professional Qualifications:

  • Bachelor's degree in Law, Business Administration, Business Management, or a related field.
  • Master's degree in Law, Business Administration, Business Management, or a related field.

Overall Experience:

  • 10 years in the securities and capital market sector.
