The main purpose of this post is to assist the legal projects function in all support activities such as drafting certain components of a transaction, assisting in company setup, legal research on precedents, etc. as required, in order to ensure the function’s work is carried out smoothly and effectively. 


KEY ACCOUNTABILITIES:


Legal Support

  • Conduct legal research as required by the Senior Lawyers including finding out precedents and relevant statutes, legal articles and other writings related to a specific legal research, in order to support the team.
  • Perform preliminary work in the preparation of legal opinions and research relevant statutes, rulings, and precedents to be used as a basis for answering requests for legal opinions related to Company projects.
  • Shadow senior team members on key meetings, negotiations, reviewing of documents, etc. in order to build capability and competence in required areas.
  • Ensure an up-to-date database of all relevant legal and statutory regulations to provide a convenient source of reference to colleagues within the function.
  • Assist in providing legal support for setting up of companies in the UAE and outside of the UAE, in order to ensure all the necessary documentation is prepared, collated and available when required.


Legal Documentation

  • Assist in drafting certain components of a transaction (e.g. NDAs, TSA, Power of attorneys (POAs), company incorporation documents, approval documents, etc.), in order to ensure adequate support is provided to the team, and resources are utilised effectively.
  • Assist in the bid preparation activities from a legal perspective, in collaboration with the Bid Management team, in order to ensure all the legal elements are taken care of, and that the documentation is accurate.
  • Collate and draft the conditions precedent in the term sheet before closing of the deal, in order to ensure the required documents are available.
  • Take dictation and transcribe materials from shorthand or written manuscripts into typed drafts and proofreads letters, reports and tabulations for line manager’s review and correction.


Agreements and Contracts

  • Draft the basics of agreements and contracts relevant to specific legal transactions and provide it to the team to populate other details in order to ensure provision of required support.


Coordination

  • Assist in coordinating with internal stakeholder such as Business Development team, assets team, etc. as required and follow up with them, in order to gather the necessary information required.
  • Handle all day-to-day work related to government and other external relations with respect to legal paperwork, filing application forms, attestations, etc., to ensure smooth and efficient interface with the external parties.

  • Adhere to all relevant organizational and departmental policies, processes, standard operating procedures, and instructions so that work is carried out to the required standard and in a consistent manner.

  • Contribute in the identification and implementation of change initiatives, programmes, and projects in line with the organization's standards.


QUALIFICATIONS:


Minimum Qualifications:


  • A recognized training in Law
  • Bachelor degree in Law is preferable


Minimum Experience: 


  • 0 – 3 years’ experience as a paralegal


Skills:

  • Language skills: Fluent in English and Arabic languages (oral and written)
  • Highly organized
  • Basic understanding of legal terms and definitions
  • Understanding of contracts and other legal documents
  • Good research skills
  • Ability to handle pressure well, and understand the importance of deadlines
  • Ability to relate to people in a variety of situations, be highly trustworthy, discreet, and use good judgment
  • High attention to detail
