About the Job:
Provides legal advice and services to ADNOC L&S on existing operations, including contracts, and new projects and transactions, both domestically and internationally as well as advising on employee matters, procurement contracts and leases and acting on committees/investigations, including shipping, logistics, offshore, onshore and marine services. Ensures conformity with laws and regulations, drafts, reviews and amends legal opinions, agreements and documents and provides advice on safeguarding ADNOC L&S’s interests.
Works with GC to manage and supervise all corporate and commercial legal affairs of ADNOC L&S.
Assists with the development and review of documentation for all commercial, corporate and transactional matters as and when required by ADNOC L&S as well as the development, implementation and maintenance of legal opinions, standard form agreements and other legal documentation for use by ADNOC L&S.
Assists with the legal functions of ADNOC L&S pertaining to all relevant matters ranging from disputes, arbitration, litigation, contract drafting, contract review and all other related corporate and commercial functions.
Key Accountabilities:
- Provides legal counsel and advice to ADNOC L&S and on commercial, corporate and transactional matters as and when required or assigned, including joint ventures, investments, mergers, acquisitions, incorporations, dissolutions and liquidations.
- Drafts, reviews, interprets and amends legal opinions, agreements, letters, memos, submissions and any other relevant documents related to the business, projects or transactions related for ADNOC L&S.
- Supervises work of more junior lawyers.
- Assists the General Counsel in oversight of the legal functions of ADNOC L&S, particularly in development and implementation of common legal practices and joint strategies across the sectors in which ADNOC L&S operates.
- Provides guidance, as required, to assigned personnel within the Legal Division on complex issues. Support and encouragement to lesser experienced legal personnel. Includes identifying training and development needs and organizing, in coordination with Training & Development Division in Human Capital Directorate, courses, seminars and orientation programs for legal and lay staff.
- Attends internal ADNOC L&S committees and meetings, as and when required.
- Assists with managing external legal counsel services related to ADNOC L&S matters and projects, including review of external legal counsel work product, preparation of request for proposals and instructing external legal counsel.
- Coordinates with the Corporate Governance Department on corporate governance matters related to ADNOC L&S contracts and transactions.
- Coordinates with the Compliance Department on compliance matters related to ADNOC L&S contracts and transactions.
- Assists the General Counsel in recruitment of lawyers- including reviewing, vetting, interviewing, and screening candidates.
- Provides legal advice and services to the senior management personnel in ADNOC and its group companies to ensure that it’s commercial and corporate activities are conducted in compliance with applicable law and regulations.
- Supports the development of junior lawyers and coordinates with other Departments and Units on the development and implementation of training and development initiatives.
- Performs all other duties as assigned by the General Counsel
Minimum Requirtments:
- Bachelor’s degree in common law or any relevant discipline.
- Master’s degree in law is an asset
- Minimum 10 - 12 years of maritime law experience in a recognized international maritime law firm. Ideally some relevant in-house experience.
- Experience in sectors relevant to ADNOC L&S industry is preferred.
- Excellent English language (written and spoken). Fluent Arabic in addition a substantial advantage
- Must be a qualified lawyer in a common law jurisdiction and a member of a law society or equivalent professional body
