Reporting To Chief of Staff and Chairman Location Dubai, UAE (supporting UAE, UK, KSA, Europe, Africa and Singapore) Job Summary The Legal & Governance Manager is responsible for overseeing the company’s legal affairs, corporate governance, and contractual framework across multiple jurisdictions.
The role ensures legal compliance, protects the company’s commercial interests, and supports leadership with practical, business-focused legal advice This position plays a key role in strengthening governance standards, managing legal risk, and supporting the company’s international growth, while coordinating with external legal advisors where required Key Responsibilities 1.
Legal and Contract Management Draft, review, and negotiate a wide range of agreements, including: Consultancy agreements Client and operator agreements NDAs and confidentiality agreements Supplier and vendor contracts Partnership and licensing agreements Identify legal and commercial risks and recommend mitigation strategies Maintain and manage contract trackers and legal documentation systems 2.
Corporate Governance Support corporate governance across all company entities and jurisdictions Prepare and maintain: Board resolutions Shareholder resolutions Corporate records and registers Powers of attorney and authorised signatory documentation Ensure compliance with regulatory and licensing requirements Support implementation of governance policies and internal controls 3.
Legal Advisory and Business Support Provide legal guidance to leadership and internal departments including Operations, Finance, HR, and Business Development Support negotiation of commercial deals and strategic partnerships Advise on contractual rights, obligations, and risk exposure Assist with employment-related legal matters when required 4.
Risk and Compliance Management Identify legal and compliance risks across company operations Implement preventative measures to protect company interests Support dispute management and resolution processes Ensure protection of company intellectual property and confidential information 5.
External Legal Counsel Management Liaise with external lawyers across different jurisdictions Coordinate legal advice efficiently and cost-effectively Ensure alignment between external legal advice and business objectives 6.
Governance and Structural Support Support company structural changes, entity formation, and restructuring Assist with shareholder matters and corporate structuring Support leadership with governance best practices and compliance frameworks Qualifications Bachelor’s Degree in Law (LLB or equivalent) Legal qualification preferred but not mandatory Additional corporate governance qualification is advantageous Experience 5–9 years legal experience Experience in commercial, corporate, or international business law Experience supporting multi-jurisdictional organisations preferred Experience in consultancy, hospitality, real estate, or international business environments is advantageous Skills and Competencies Technical Strong contract drafting and negotiation skills Solid understanding of corporate governance Strong knowledge of commercial law principles Ability to manage legal risk effectively Professional Strong commercial awareness Excellent written and verbal communication High attention to detail Ability to work independently and manage multiple priorities Personal Attributes High integrity and professionalism Strong judgement and discretion Practical, solution-focused mindset Ability to operate in a fast-paced international environment Please share your CV at SAboujaoude@tgpinternational.
