Job description

• Organize and prepare agendas, notices, and minutes for Board meetings, committee meetings, and Annual General Meetings (AGMs).

• Ensure the company complies with relevant UAE laws, regulations, and corporate governance codes.

• Maintain statutory registers (members, directors, charges, etc.) and company records.

• File necessary documents and returns with regulatory bodies (e.g., Department of Economic Development, licensing authorities) within deadlines.

• Advise the Board on governance matters, directors' duties, and legal/regulatory changes affecting the business.

• Liaise with shareholders, auditors, legal counsel, and regulatory authorities.

• Manage the company seal, share transfers, and shareholder communications.

• Support due diligence processes for mergers, acquisitions, or other corporate transactions.

• Ensure timely renewal of trade licenses, permits, and corporate filings.

• Maintain confidentiality of sensitive company information.

Skills

Qualifications & Requirements


• Bachelor's degree in Law, Business Administration, Finance, or a related field.

• Professional certification (e.g., Chartered Secretary, CS, ICSA, or equivalent) preferred.

• Minimum 2 years of experience in a company secretarial, legal, or compliance role.

• Strong knowledge of UAE corporate law, company regulations, and governance best practices.

• Excellent organizational and record-keeping skills.

• Strong written and verbal communication skills in English (Arabic is a plus).

• High attention to detail and discretion in handling confidential matters.

• Proficiency in relevant compliance and document management software.
