Job Details

  • Involve in providing administrative support in the preparation and management of legal documents, coordinating meetings, and assisting with legal research on various corporate matters
  • Ensure that corporate practices meet legal standards and provide legal advice on various corporate matters, including compliance, legal structuring, contracts, and corporate transactions, while supporting our strategic objectives.
     

Responsibilities:
  • Oversee corporate governance and secretarial practices, ensuring compliance with laws and regulations while promoting ethical conduct. This includes preparing board meeting agendas, organizing meetings, and taking minutes for board, committees, shareholders, and other corporate meetings
  • Assist in developing and implementing corporate governance policies to ensure compliance with relevant laws. Ensure adherence to local, national, and international regulations governing corporate transactions, secretarial work, and M&As, including securities and antitrust laws
  • Maintain and update the group entities' statutory books and records, ensuring accuracy. Facilitate effective communication among stakeholders, committees, senior management, non-executive directors, and shareholders
  • Prepare agenda resolutions, minutes, and necessary documentation within deadlines, coordinating with directors and members for approvals. Monitor changes in statutory and regulatory requirements related to governance and registration, taking appropriate action to ensure compliance
  • Ensure that group entities comply with applicable regulations in their respective countries, primarily in the Middle East, east Asia, Africa and regions relevant to the business. Oversee timely incorporation, restructuring (including share transfers), or liquidation of entities as needed
  • Promote effective corporate governance across all entities, standardizing processes and providing necessary training. Safeguard the confidentiality and protection of data, information, and intellectual property related to the role
  • File necessary documents with registries and liaise with external regulators, including lawyers and auditors, annual reports and statutory filings e Provide legal advice on corporate matters, including contract law, capital markets, regulatory compliance, and governance issues. Draft, review, and manage corporate documents such as shareholder agreements and compliance reports e Ensure the group adheres to industry standards, particularly in health, safety, and environmental regulations relevant to the marine, energy, and engineering sectors. Perform other duties as assigned by the General Counsel and Legal Directors
  • Carry out additional company secretarial responsibilities as required.

Qualifications:

Juris Doctor (JD) Bachelor of Laws (LLB) or equivalent legal degree from a recognized institution.


Relevant Experience of Minimum of 04 to 06 years of legal experience focusing on corporate governance, secretarial work, corporate law, capital markets, and regulatory compliance, with prior experience as a corporate secretary in a listed PJSC in the UAE highly desirable.
