Role: Corporate Attorney (Remote) Location: Remote (Work from Anywhere) Job Type: Contract Payout: $90 - $130/hour
Role Overview:The M&A Attorney will be responsible for reviewing and negotiating transaction agreements, conducting due diligence for mergers and acquisitions, and ensuring compliance with regulatory requirements. The role involves collaborating with cross-functional teams to support deal execution and post-merger integration.
Key Responsibilities:• Draft, review, and negotiate definitive agreements and ancillary transaction documents• Conduct legal due diligence for mergers, acquisitions, and divestitures• Advise on corporate governance, compliance, and regulatory matters• Coordinate with internal stakeholders to align legal strategy with business objectives• Provide guidance on transaction structure, risk allocation, and deal terms
Required Skills & Qualifications:• Admitted to practice law in at least one U. S. jurisdiction with M&A experience• Experience drafting and negotiating M&A agreements, including SPAs and asset purchase agreements• Knowledge of securities laws, corporate governance, and regulatory compliance• Strong analytical and problem-solving skills with attention to detail• Ability to work independently and manage multiple priorities in a fast-paced environment
