Job Purpose Provide legal counsel and advisory services to the management of Offshore & Marine Services and to the senior management at Maritime & Shipping Cluster on all business matters involving its legal, governance, compliance and corporate affairs. With a fleet of over 250 vessels and decades of expertise, Noatum Maritime offers a diverse portfolio of services delivering “everything you need on the seas.”<br>Responsibilities Core Responsibilities:Provide legal advice to Offshore & Marine Services on daily activities, transactions, contracts and agreements in line with policies and procedures and provide legal approvals in order to minimise financial, legal and reputational risks. Create long-term compliance strategies and establish compliance-related standards and procedures that support legal and operational compliance with all laws, regulations, policies and procedures. Prepare and present reports (as required) to Offshore & Marine Services Management reflecting the progress of major legal matters, litigations, compliance initiatives and to keep them abreast of significant decisions, legislation and regulatory rulings that may affect the Company’s or its subsidiaries’ businesses or policies. Assist in preparing and establishing appropriate legal documents / policies and procedures to enable the company performance and compliance with rules and regulations. Review, draft and validate all financial, regulatory, governmental, IT and other contractual agreements to ensure that they are in compliance with the legal provisions and uphold the interests of the Company. Liaise with external lawyers/counsellors to solicit advice on matters within their jurisdiction, prepare briefs to handle legal matters, and support internal lawyers in completing the Legal Due Diligence process within the prescribed timeline on business unit’s matters. Review all contracts and other legal documents for terms & conditions that may be areas of concern and highlight the same for subsequent review and action. Maintain a record of all corporate and commercial documents, agreements, property papers and rights agreements etc. including certified copies obtained from various authorities in safe custody. Manage documentation of legal reference texts, laws of member countries, international laws, judicial precedents and legal notes for reference and use in legal decision making. Liaise with other internal departments to address all queries on legal matters, highlight discrepancies in contractual and legal documentation, and provide advice for action to be taken, ensuring adherence to law and AD Ports policies. Follow up claims / disputes and cases in order to settle according to the rule of law. Ensure strict enforcement of Maritime & Shipping Cluster’s policies, Delegation of Authority and other governance instruments as may be applicable from time to time together with the directions from the General Counsel. People Management Responsibilities:Provide strong supervision, and guidance to the team, setting clear expectations and creating a culture of accountability. Offer coaching and mentoring to team members to enhance their capabilities and problem-solving skills. Drive a collaborative and inclusive work environment that encourages creativity, innovation, and high performance. Identify skill gaps and training requirements for the teams to ensure consistent high performance.
