<section><p class="heading jdMain">Job Description</p><p class="heading">Roles &amp; Responsibilities</p><div class="paragraph"><p><strong>Key Responsibilities</strong></p><ol type="1"><li><p><strong>Regulatory Compliance Management</strong></p><ol type="a"><li><p>Ensure compliance with UAE Commercial Companies Law, AML/CFT regulations etc</p></li><li><p>Monitor regulatory changes and assess their impact on the Group and JV entities</p></li><li><p>Coordinate with regulatory authorities and ensure timely submission of statutory filings, renewals, and disclosures.</p></li><li><p>Develop and maintain compliance policies, procedures, and compliance monitoring frameworks.</p></li></ol></li><li><p><strong>Corporate Secretarial &amp; Governance</strong></p><ol type="a"><li><p>Manage all corporate secretarial activities for JV companies and subsidiary entities.</p></li><li><p>Organize Board and Committee meetings including agendas, board packs, resolutions, and minutes</p></li><li><p>Maintain statutory registers, corporate records, powers of attorney, and legal documentation</p></li><li><p>Ensure compliance with shareholder agreements, delegated authority matrices, and governance frameworks</p></li><li><p>Support implementation of governance best practices aligned with listed entity standards.</p></li></ol></li><li><p><strong>Handled Listed Entity &amp; Disclosure Compliance</strong></p><ol type="a"><li><p>Handle governance and disclosure requirements applicable to listed entities and regulated subsidiaries</p></li><li><p>Coordinate related-party transaction compliance, conflict of interest declarations, and governance reporting.</p></li><li><p>Assist in board evaluations, governance audits, and compliance reviews.</p></li></ol></li><li><p><strong>Risk Management, AML &amp; Due Diligence</strong></p><ol type="a"><li><p>Conduct compliance risk assessments across projects and business operations.</p></li><li><p>Investigate compliance breaches and implement corrective action plans.</p></li><li><p>Coordinate responses to regulatory inspections and audit observations.</p></li></ol></li></ol></div></section><section><p class="heading">Desired Candidate Profile</p><p class="paragraph"></p><p>The preferred candidate profile should be below 30 years of age with 3–5 years of relevant post-qualification experience. Preferred Qualifications (First Attempt): Company Secretary (CS) and bachelor’s degree in law (LLB). Candidates with prior experience in real estate, JV structures, or regulated/listed organizations in the UAE will be preferred. </p><p></p></section>
